1. Introduction and Parties
These Terms of Service ("Agreement" or "Terms") constitute a legally binding agreement between CaseFuze, LLC, a Nevada limited liability company with its principal place of business at 300 S 4th St, Ste 960, Las Vegas, NV 89101 ("CaseFuze," "Company," "we," "us," or "our"), and the individual or legal entity accessing or using the CaseFuze platform ("Subscriber," "Customer," "you," or "your").

The platform includes case and matter management, IOLTA trust accounting, billing and invoicing, document management, e-signatures, client intake, AI-powered tools, payment processing, HR and staff management, reporting and analytics, and related features (collectively, the "Services" or "Platform").
By accessing or using the Services, you represent that: (a) you have read and understood these Terms; (b) you have the legal authority to enter into this Agreement on behalf of yourself or your organization; and (c) you agree to be bound by these Terms and all applicable laws and regulations.
2. Definitions
For purposes of this Agreement, the following definitions apply:
- "Account" means the unique account created for a Subscriber to access and use the Services.
- "Authorized User" means any individual granted access to the Platform by a Subscriber, including attorneys, paralegals, staff members, and administrators.
- "Client Data" means all data, information, documents, and materials uploaded, stored, or processed through the Platform by Subscriber or its Authorized Users, including client names, case files, financial records, and trust account information.
- "IOLTA" means Interest on Lawyers' Trust Accounts, a program requiring attorneys to maintain separate accounts for client funds.
- "Subscription Fee" means the per-user, per-month fee charged for access to the Services, currently set at $49 per Authorized User per month.

3. Account Registration and Eligibility
3.1 Eligibility
The Services are intended solely for use by legal professionals, law firms, and their authorized personnel. By registering for an Account, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into contracts;
- You are a licensed attorney, law firm, legal professional, or their authorized agent;
- Your use of the Services will comply with all applicable laws, rules, and regulations, including professional conduct rules governing attorneys in your jurisdiction;
- You have the authority to bind your organization if registering on behalf of a law firm or legal entity;
- All registration information you provide is accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your Account credentials. You agree to: (a) create a strong, unique password; (b) not share login credentials with individuals outside of permitted Authorized Users; (c) notify CaseFuze immediately at Support@CaseFuze.com of any unauthorized access or suspected breach; and (d) ensure each Authorized User complies with these Terms.
CaseFuze is not liable for any loss or damage arising from unauthorized access to your Account resulting from your failure to maintain adequate credential security.
3.3 Authorized Users
Subscribers may grant access to Authorized Users. Each Authorized User requires a separate paid subscription seat. Subscribers are responsible for all actions taken by their Authorized Users and for ensuring Authorized Users comply with these Terms. Subscribers must promptly revoke access for individuals who are no longer authorized.
4. Subscription, Fees, and Payment
4.1 Subscription Plans
CaseFuze offers a single, all-inclusive subscription plan at $49 per Authorized User per month ("Subscription Fee"). This flat-rate pricing provides access to all features of the Platform with no tiered restrictions, hidden add-ons, or feature-gated upgrade requirements. Pricing is subject to change upon thirty (30) days' written notice to Subscribers.
4.2 Billing and Payment
Subscription Fees are billed monthly in advance per Authorized User seat. By providing payment information, you authorize CaseFuze or its payment processor to charge your payment method on a recurring monthly basis. All fees are due upon invoice and are non-refundable as set forth in Section 4.4. Fees are exclusive of applicable taxes, which are your responsibility.
4.3 Adding and Removing Users
Additional Authorized Users may be added at any time and will be charged on a pro-rated basis for the remainder of the current billing cycle. When Authorized Users are removed, the associated seat fee will not be refunded for the current billing period but will not renew in subsequent periods.
4.4 Refund Policy
All fees paid to CaseFuze are non-refundable. This includes Subscription Fees for partial months, fees for seats that went unused, and fees for any period during which Subscriber did not access the Platform. CaseFuze does not issue pro-rated refunds. Subscriber may cancel at any time under Section 14.2, and cancellation ends all future billing at the close of the then-current billing cycle. If Subscriber believes a charge is incorrect, Subscriber must notify Support@CaseFuze.com within thirty (30) days of that charge. Nothing in this Section limits any refund CaseFuze is required to provide under applicable law. The full policy is published at casefuze.com/refund-policy.
4.5 Late Payment and Suspension
If any Subscription Fee remains unpaid for more than ten (10) days after the due date, CaseFuze reserves the right to suspend access to the Platform without further notice. Access will be restored upon payment of all outstanding balances. CaseFuze is not liable for any harm resulting from suspension due to non-payment.
4.6 Free Migration Period
CaseFuze offers six (6) months of free data migration support for new Subscribers switching from other legal practice management systems. This migration support is provided as a professional courtesy and does not constitute a warranty or guarantee regarding the completeness, accuracy, or integrity of migrated data. Subscribers are responsible for verifying all migrated data before relying upon it.
5. Permitted Use and Restrictions
5.1 Permitted Use
Subject to these Terms and payment of applicable fees, CaseFuze grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for Subscriber's internal legal practice management purposes during the term of this Agreement.
5.2 Prohibited Uses
Subscriber and its Authorized Users shall NOT:
- Use the Platform in violation of any applicable law, bar rule, professional conduct standard, or ethical obligation;
- Use the Platform to store, process, or transmit data in violation of attorney-client privilege, client confidentiality obligations, or professional rules of conduct;
- Attempt to gain unauthorized access to any portion of the Platform or its related systems;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;
- Resell, sublicense, or otherwise make the Platform available to third parties outside of Authorized Users;
- Use the Platform to transmit malicious code, spam, or unsolicited communications;
- Scrape, harvest, or extract data from the Platform using automated means;
- Interfere with or disrupt the integrity or performance of the Platform or third-party data therein;
- Use the AI Tools as a substitute for independent legal judgment, legal research, or professional advice;
- Use the Platform to engage in any deceptive, fraudulent, or misleading conduct;
- Remove or alter any proprietary notices, labels, or marks on the Platform.
5.3 Professional Responsibility
CaseFuze is a technology tool, not a law firm, and does not provide legal advice. Subscribers and Authorized Users remain solely responsible for all legal work product, professional judgments, compliance with professional conduct rules, client communications, court filings, and all other activities conducted through or supported by the Platform. The use of AI Tools, automated workflows, or any Platform feature does not diminish or transfer the professional responsibility of the attorney to the client or the court.
6. Artificial Intelligence Tools — Important Limitations
CaseFuze incorporates AI-powered features including smart case search, conflict detection assistance, billing insights, duplicate detection, and document assistance tools. By using these features, you acknowledge and agree:
6.1 AI is Not a Substitute for Professional Judgment
AI Tools are designed to assist legal professionals, not replace them. All AI-generated outputs, suggestions, conflict flags, billing recommendations, and document drafts are for informational and efficiency purposes only. Attorneys must independently review, verify, and take responsibility for all outputs before relying upon them. No AI output constitutes legal advice, and CaseFuze makes no representation that AI Tools are error-free.
6.2 Conflict Checks
The AI-powered conflict detection feature is a supplementary tool only. It is not a substitute for a comprehensive conflict of interest check required under the applicable Rules of Professional Conduct. Attorneys are professionally obligated to conduct their own conflict checks through all appropriate means. CaseFuze disclaims any liability for missed conflicts not detected by AI Tools.
6.3 Accuracy Disclaimer
AI Tools may produce inaccurate, incomplete, or outdated results. CaseFuze does not warrant the accuracy or fitness for any particular purpose of AI-generated content. Subscribers use AI Tools at their own risk and are solely responsible for all outcomes.
7. IOLTA Trust Accounting and Financial Features
7.1 Compliance Responsibility
CaseFuze provides IOLTA trust accounting tools including automated three-way reconciliation, Plaid-integrated bank feeds, client and matter ledgers, and audit trail reporting. These tools are designed to assist attorneys in maintaining compliant trust accounts. However, Subscriber remains solely and entirely responsible for compliance with all applicable IOLTA rules, state bar regulations, and professional conduct obligations governing client funds.
7.2 No Financial Advice
Nothing in the Platform constitutes financial, accounting, tax, or legal advice. Subscribers should consult qualified accountants and legal advisors regarding their IOLTA and financial compliance obligations. CaseFuze is not a financial institution, bank, or regulated financial services provider.
7.3 Plaid Integration
The Platform integrates with Plaid Technologies, Inc. for real-time bank feed connectivity. By enabling Plaid integration, you agree to Plaid's separate terms of service and privacy policy. CaseFuze is not responsible for the accuracy or availability of data provided by Plaid or your financial institution.
7.4 Payment Processing
Payment processing features are provided through third-party payment processors. CaseFuze is not a payment processor and does not hold, transmit, or control client funds. Subscriber is responsible for compliance with all applicable payment processing regulations, including PCI DSS requirements where applicable.
7.5 Financial Data Accuracy
While CaseFuze strives to maintain accurate financial records, Subscriber is responsible for regularly reconciling all trust account records and verifying the accuracy of all financial data within the Platform. CaseFuze is not liable for errors arising from inaccurate data entry, bank feed discrepancies, or Subscriber's failure to perform regular reconciliations.
8. Data, Privacy, and Confidentiality
8.1 Ownership of Client Data
Subscriber owns all Client Data uploaded to or processed through the Platform. CaseFuze does not claim any ownership rights in Client Data. Subject to these Terms, Subscriber grants CaseFuze a limited license to process and store Client Data solely for the purpose of providing the Services.
8.2 Data Processing
CaseFuze will process Client Data only as necessary to provide the Services and as directed by Subscriber. CaseFuze will not sell, rent, or disclose Client Data to third parties except: (a) as necessary to provide the Services (e.g., sharing with integrated third-party providers); (b) as required by applicable law or court order; (c) to protect the rights, property, or safety of CaseFuze, its users, or the public.
8.3 Confidentiality of Client Data
CaseFuze acknowledges that Client Data may include privileged attorney-client communications, confidential client information, and sensitive personal data. CaseFuze will maintain commercially reasonable confidentiality protections for Client Data and will require its employees and contractors who access Client Data to be bound by confidentiality obligations.
8.4 Data Security
CaseFuze employs enterprise-grade security measures including: TLS 1.3 encryption in transit; AES-256 encryption at rest; separate encryption key management; access controls and role-based permissions; SOC 2 compliance frameworks; and regular security audits. Notwithstanding these measures, no data transmission or storage system can be guaranteed to be 100% secure. CaseFuze does not warrant that the Platform is free from security vulnerabilities or that Client Data will never be accessed without authorization.
8.5 Breach Notification
In the event of a confirmed data security breach affecting Client Data, CaseFuze will notify affected Subscribers in accordance with applicable law and will take commercially reasonable steps to investigate and remediate the breach.
8.6 HIPAA
To the extent Subscriber's use of the Platform involves protected health information ("PHI") as defined by the Health Insurance Portability and Accountability Act ("HIPAA"), Subscriber must notify CaseFuze and execute a separate Business Associate Agreement ("BAA"). Absent a signed BAA, Subscriber agrees not to upload PHI to the Platform, and CaseFuze disclaims all liability for any HIPAA violations arising from Subscriber's failure to comply with this requirement.
8.7 Data Retention and Deletion
CaseFuze will retain Client Data for the duration of the Subscription and for a period of ninety (90) days following termination, during which Subscriber may export Client Data. After this period, CaseFuze may permanently delete Client Data. Subscriber is solely responsible for maintaining independent backups of Client Data.
8.8 Privacy Policy
CaseFuze's Privacy Policy, available at casefuze.com/privacy-policy, is incorporated into these Terms by reference and governs the collection and use of information provided to CaseFuze.
9. Third-Party Integrations
The Platform supports integrations with third-party services, currently including Plaid and payment processors, and may support additional services such as calendar and email providers and cloud storage platforms in future releases. By enabling any Integration, you acknowledge:
- You are subject to the separate terms of service and privacy policies of those third-party providers;
- CaseFuze does not control third-party services and is not responsible for their availability, accuracy, security, or conduct;
- Third-party integrations may be modified, suspended, or discontinued at any time by the third-party provider;
- CaseFuze's integration with a third-party service does not constitute an endorsement of that service;
- Any fees charged by third-party providers are separate from CaseFuze's Subscription Fee and are your responsibility.
10. Intellectual Property
10.1 CaseFuze Ownership
CaseFuze and its licensors exclusively own all right, title, and interest in and to the Platform, including all software, code, algorithms, AI models, designs, user interfaces, logos, trademarks, and documentation (collectively, "CaseFuze IP"). These Terms do not transfer any CaseFuze IP to Subscriber. Any feedback, suggestions, or ideas provided by Subscriber regarding the Platform may be used by CaseFuze without obligation to Subscriber.
10.2 Subscriber Content
Subscriber retains all rights to Client Data and any content created by Subscriber using the Platform. Subscriber represents and warrants that it has all necessary rights, licenses, and permissions to upload and process Client Data through the Platform.
10.3 Trademark

12. Limitation of Liability
12.1 EXCLUSION OF CONSEQUENTIAL DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CASEFUZE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR REPUTATION; LEGAL MALPRACTICE CLAIMS; BAR COMPLAINTS OR DISCIPLINARY PROCEEDINGS; IOLTA VIOLATIONS OR TRUST ACCOUNT SHORTFALLS; MISSED COURT DEADLINES OR STATUTES OF LIMITATIONS; LOSS OF CLIENTS; COSTS OF SUBSTITUTE SERVICES; OR ANY OTHER INTANGIBLE LOSSES, EVEN IF CASEFUZE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Basis of the Bargain
The parties acknowledge that the limitations of liability in this Section 12 reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between the parties. CaseFuze would not provide the Services without these limitations.
12.4 Essential Purpose
The limitations in this Section 12 will apply even if any limited remedy set forth in these Terms fails of its essential purpose.
13. Indemnification
Subscriber agrees to defend, indemnify, and hold harmless CaseFuze, its officers, directors, employees, agents, affiliates, licensors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
